Technology giant IBM and HashiCorp Inc., a multi-cloud infrastructure automation company, have inked a definitive agreement, signaling IBM’s acquisition of HashiCorp for $35 per share in cash, amounting to an enterprise value of $6.4 billion. 

The move underscores IBM’s strategic thrust into hybrid cloud and artificial intelligence (AI), acknowledging them as important technologies for contemporary clients.

“HashiCorp has a proven track record of enabling clients to manage the complexity of today’s infrastructure and application sprawl,” said Arvind Krishna, chair and CEO, IBM,said in a media advisory. “Combining IBM’s portfolio and expertise with HashiCorp’s capabilities and talent will create a comprehensive hybrid cloud platform designed for the AI era.”

The transaction, subject to approval by HashiCorp shareholders, regulatory bodies, and customary closing conditions, is slated for completion by the end of 2024.

The acquisition is anticipated to yield significant synergies for IBM, particularly in strategic growth areas such as Red Hat, Watson, data security, IT automation, and consulting. By integrating HashiCorp’s capabilities, IBM aims to simplify the provisioning and configuration of applications across hybrid cloud environments, amplifying its ability to address the expanding cloud opportunity.

With a clientele boasting over 4,400 clients, including industry giants like Bloomberg, J.P. Morgan Chase, and Vodafone, HashiCorp has garnered widespread adoption in the developer community, serving 85% of the Fortune 500. Its suite of products, ranging from Terraform for infrastructure provisioning to Vault for identity-based security, has witnessed substantial uptake, underscoring its relevance in modern enterprise landscapes.
